Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Exeet Labs SAS, a company organized under the laws of France (“Exeet”, “we”, “us”, or “our”), governing your access to and use of the Exeet mobile application, this website (exeet.app), and related services (the “Service”). By creating an account, pre-registering, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

“Account” means your registered Exeet user account. “Content” means information you submit, including photos, audio or video, profile details, and messages. “Meetup” means an in-person meeting arranged through the Service. “Virtual Items” means paid features such as Meet Pass and SuperVibe.

You must be at least 18 years old and legally able to enter into these Terms to use the Service. You may not use the Service if you are barred from doing so under applicable law, if you have previously been banned, or if you are a registered sex offender. You agree to provide accurate information and to use the Service for lawful, personal, non-commercial purposes.

Exeet is a real-life dating and meetup service that helps adults discover compatible people and meet them in person at public venues. We provide matching, real-time and on-demand meetup features, and tools to communicate and arrange Meetups. We do not guarantee that you will find matches, that any person's profile is accurate, or that any Meetup will occur or meet your expectations.

You are responsible for your Account and for keeping your credentials secure. To protect the community, the Service offers identity and “liveness” verification, which processes biometric information as described in our Privacy Policy (see “Biometric Information”). Verification is consent-based; if you decline, certain safety features may be unavailable. You may not create multiple accounts, impersonate others, or transfer your Account.

Some features are paid, including Meet Pass, SuperVibe, and subscriptions. Prices are shown in U.S. dollars in the app and are charged through our payment processor, Stripe. Subscriptions renew automatically for the stated period unless canceled before the renewal date; you can manage or cancel through your app-store account or the in-app settings, as applicable.

Except where required by law or expressly stated, purchases and consumed Virtual Items are non-refundable. Virtual Items have no monetary value, are licensed (not sold) to you, are non-transferable, and may expire. We may change prices and features on a going-forward basis.

You agree not to:

• harass, threaten, or harm others;
• post unlawful, hateful, sexually exploitative, or deceptive content;
• solicit money or share others' private information;
• use the Service for commercial solicitation, prostitution, or trafficking;
• create fake profiles or use bots; or
• attempt to circumvent safety, moderation, or verification features.

You are solely responsible for your interactions and Meetups with other users.

We use automated and human moderation to review photos, audio, and behavior for safety and policy compliance. We may remove Content, limit features, or suspend or terminate Accounts that violate these Terms or our community rules, at our discretion. We may also report unlawful activity to authorities. You can report users or Content in the app.

The Service, including its software, design, trademarks, and content (excluding your Content), is owned by Exeet Labs SAS and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service. You retain ownership of your Content and grant us a worldwide, non-exclusive, royalty-free license to host, display, and use it as needed to operate, moderate, and improve the Service.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, EXEET AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE OR ANY MEETUP. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD 100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Exeet Labs SAS and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Content, your use of the Service, your Meetups, your violation of these Terms, or your violation of any law or the rights of a third party.

Informal resolution first. Before starting an arbitration, you agree to first contact us at contact@exeet.eu and give us 60 days to resolve the dispute informally.

Binding arbitration. Except as noted below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Class-action waiver. You and Exeet agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Exceptions and opt-out. Either party may bring a qualifying claim in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-access claims. You may opt out of this arbitration agreement by emailing contact@exeet.eu within 30 days of first accepting these Terms. If any part of this section is unenforceable, the rest remains in effect.

You may stop using the Service and delete your Account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or as otherwise permitted by law. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, indemnification, and arbitration) will survive.

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. This choice of law does not deprive you of the protection of mandatory consumer-protection laws of your state of residence. Subject to Section 13, the state and federal courts located in Delaware will have jurisdiction over any disputes not subject to arbitration.

We may update these Terms from time to time. If we make material changes, we will notify you through the app or website or by other reasonable means and update the “Last updated” date above. Your continued use of the Service after changes take effect means you accept the updated Terms.
